I would say - "If you don't want to cheat you must study very hard to success.If you really want to cheat,you must be smart than the teacher who caught you next time.

well sometimes cheating is part of student life..i once cheat when i did not study my lesson,i got a high score but i'm not satisfied becase i know i done it the wrong way....just tell your friend that give time to study and do your homework..help her try to conduct a group study..it will be a big help..

I would say something like:

"I know it is none of my buisness but I saw you cheating on or last exam and as a friend please could you stop because I don't want the teacher to catch you and then kick you out of the exam hall, you could blow your whole life away by making this one mistake, please could you just promise me that you will revise and not cheat PLEASE"

If you loose your friendship then don't worry about it, there are plenty more friends out there.

OTHERWISE IF YOU DON'T WANT TO LOOSE HER FRIENDSHIP...SAY NOTHING, she will get found out in the end and then she will be the one left behind.
But I am sure you don't want that for your friend. :S
