They are both definetley worth a visit. Phillip island is more of a tourist attraction, there are fairy penguins, beaches, museums, fairies that take you to seal's rock and local shopping in Cowes.
Wilson's prom is much more isolated, however it will also cost you much less. It's a national park with the most amazing beauty. You can stay in a cabin, pitch a tent, or go hiking. I highly recommend the lighthouse hike, it takes 2 days and is quite challenging... BUT YOU GET TO SLEEP IN A LIGHT HOUSE! They also limit the number of people in the park at one time, so you could have a whole beach to yourself (the most amazing, prestine beach I have ever seen!)
However you won't get much shopping at the prom.
Basicly if you are looking for a more well-known tourist area go to Phillip island, however if you want a more secluded and natural environment go to the prom.
I can't recommend the prom enough! |

G'day,
Terrific recommendations!!! Now just to balance the 'positive' a little bit:
Philip Island: The main attraction is the Penguin parade, where the Penguins are 'coming home' from the sea to their burrows in the beach. Contrary to the pics that you would have seen in the tourist catalogues, you cannot sit on the beach between the penguins. You will see the Penguins from a raised platform from the visitor centre on the beach and no taking pics using flashlight since it may damage the Penguins' eyesight. However b'cos the Penguin came usually after dark (abt 6-7pm), you better have a good camera with you. Also it is very cold, so recommended not to go during colder season, and you may need to wait for quite lengthy period, since the Penguins do not have the alarm that telling them when's the time to go home. However it is still a good experience if you have not been to one.
2. Grampians: If you like lots of bushwalking, then it is the place. Magnificent views and sceneries. Recommended to stay overnight b'cos it's long walks and there are several places to visit.
Hope this helps. Dun get me wrong, I like the places and like to take visitors around to visit them, but these are some comments that I got from them.

defintely worth seeing i live forty mins from there its the most beutiful place on earth, you can go see the penguin parade, knobbies, parasailing, surfing, at nite go to a club called splash or the isleof white pub, there is **** loads to do there
i could be your tour guide hehe |

Phillip island is a great place to visit with plenty to do even if the weather is not so good.If your into wildlife and walking Wilson's prom is a very beautiful place .The Grampians are next on my list have not been there |

Grampians is great, Kangaroos, birds, all about Australian Nature, but u need to spend more than a day there.
Wilsons Prom is great too, nateure walks, beaches, animals, very beautiful spot, but you need to spend more than a day there.
Philip Island is also nice, can spend a day there as the Island itself is relatively small, but still there is much to do. Just be sure to check out the Penguin Parade at the Island but it starts about 8pm i believe.
