Is in the state of Rio de Janeiro, I would say it's about 4 hours by car from the city of Sao Paulo and about the same from the city of Rio de Janeiro.
It's a beautiful area, you should also have a look if you find something about Visconde de Mauá, which is a very nice village, same style of Penedo but in my opinion, nicer (more rustic but with beautiful nature and waterfalls). Once visiting Visconde de Maua I stayed in a very nice hotel called Mauá Brasil (great gastronomy and very romantic chales), it's not cheap but if you are a couple you and your budged allow you, I would strongly recommend it. Have a good trip!

not 4 hours. 2 hours. Penedo is in the middle betweren Rio and Sao Paulo. The Rio - SĂŁo Paulo trip is 400km.
It's slightly closer to Rio, sitll in Rio state. So to be more acurate I'd say 2 hours from Rio and 3 from SĂŁo Paulo.
